CROPIL – TERMS & CONDITIONS

1. INTRODUCTION

These Terms & Conditions (“Terms”) govern access to and use of the Cropil platform (“Platform”), operated by Cropil (“Company”, “we”, “us”, or “our”).

Cropil provides a digital marketplace facilitating connections between buyers and sellers of commodities worldwide. Cropil acts solely as an intermediary and is not a party to any transaction between users.

By registering or using the Platform, you (“User”) agree to be bound by these Terms.


2. ELIGIBILITY

You confirm that:

  • You are at least 18 years old
  • You have legal authority to represent your company (if applicable)
  • All information provided is accurate and complete

Cropil reserves the right to refuse or terminate access at its discretion.


3. USER ACCOUNT & REGISTRATION

  • Users must register and create an account
  • Users are responsible for maintaining the confidentiality of their login credentials
  • Users must notify Cropil of any unauthorized access


4. KYC & COMPLIANCE

Users agree to:

  • Provide all requested Know Your Customer (KYC) documentation
  • Submit valid identification and company verification documents
  • Allow Cropil to verify submitted information

Cropil reserves the right to:

  • Approve, reject, or suspend accounts
  • Request additional documentation at any time


5. ROLE OF CROPIL

Cropil acts solely as an intermediary platform and:

  • Does not own, buy, or sell commodities
  • Does not guarantee the quality, delivery, or payment of goods
  • Is not responsible for execution or performance of transactions

All agreements are concluded directly between users.


6. LISTINGS & USER CONTENT

Users are responsible for:

  • Accuracy of all listings and information
  • Compliance with applicable laws
  • Ensuring they have the right to offer or request commodities

Cropil may:

  • Remove or modify listings
  • Suspend users providing false or misleading information


7. BROKERAGE FEES

Users agree that:

  • Cropil is entitled to a brokerage fee determined based on the specific commodity, transaction volume, and structure of the deal
  • Fees may be calculated as a percentage of the total transaction value, a fixed amount, or a combination of both
  • The applicable fee structure will be communicated to the parties prior to or at the time of introduction or negotiation
  • The fee becomes payable upon successful introduction and/or conclusion of a transaction between users


Cropil reserves the right to adjust its fee structure depending on market conditions, commodity type, transaction size, and complexity of the deal.



8. NON-CIRCUMVENTION

Users agree that:

  • They shall not bypass, circumvent, or avoid Cropil in any transaction introduced through the Platform
  • This obligation applies to direct and indirect dealings

This clause remains valid for a period of 24 months from the date of introduction.


9. CONFIDENTIALITY

Users agree to:

  • Keep all information obtained through the Platform confidential
  • Not disclose counterparties without consent


10. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Cropil shall not be liable for any direct or indirect losses
  • Cropil does not guarantee transaction success
  • Cropil is not responsible for disputes between users


11. INDEMNIFICATION

Users agree to indemnify and hold Cropil harmless from any claims, damages, or liabilities arising from:

  • Use of the Platform
  • Breach of these Terms
  • Transactions with other users


12. TERMINATION

Cropil may:

  • Suspend or terminate accounts at any time
  • Remove access without prior notice

Users may terminate their account at any time.


13. INTELLECTUAL PROPERTY

All Platform content, branding, and materials are owned by Cropil and may not be used without prior consent.


14. DATA & PRIVACY

User data is processed in accordance with applicable data protection laws. By using the Platform, users consent to such processing.


15. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of Switzerland.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.


16. AMENDMENTS

Cropil reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.


17. ACCEPTANCE

By registering and using the Platform, you confirm that:

  • You have read and understood these Terms
  • You agree to be legally bound by them
